Company formations in Hong Kong & various jurisdictions
Set up HK local limited companies through incorporation of brand new companies or purchase of shelf companies. Due to the amendment of the relevant legislation, forming a new company in Hong Kong now only requires 1 director and 1 shareholder. We would offer help to our clients in opening new company bank accounts and in handling other relevant legal documentations.
Incorporation of companies in offshore jurisdictions such as British Virgin Islands, American Samoa, Cayman Islands, Mainland China and Bermuda, etc. and assisting our clients in registering those companies incorporated outside Hong Kong with the HKSAR Government Departments by handling all relevant documentations and returns required.
Company secretarial services
Provision of annual services for: being Company Secretary of local limited companies; and being the authorized representatives of the overseas companies that established a place of business in Hong Kong.
With compliance to the Companies Ordinance (Cap. 32), preparing on behalf of our clients: (a) Annual Returns and (b) Minutes of the Board of Directors Meetings & Minutes of the Annual General Meetings.
With compliance to the local and foreign statutory requirements, preparing relevant documentations for offshore companies to complete annual registrations to relevant government departments and to effect changes of the companies.
Drafting Minutes or Resolutions with reference to any structural change of the HK limited companies; preparing and filing all relevant statutory documentations respectively; and updating those records in the Statutory Book.
